Terms of Service

These terms cover superhq.ai, SuperHQ accounts at app.superhq.ai, and every SuperHQ product and service, free or paid, hosted or open source (the "Services"). SuperHQ is run by Harsh Singh in Lucknow, Uttar Pradesh, India ("SuperHQ", "we"). By using the Services you accept these terms. Where a product needs rules of its own, it shows them in the product, and they form part of these terms.

Accounts and organisations

• You sign in with GitHub. You must be old enough to form a binding contract where you live, and at least 18.
• You are responsible for everything done through your account, your organisations and your API tokens, and for keeping your access and tokens secure. Tell us at once if you think they were compromised.
• If you use the Services for a company, you accept these terms for it and confirm you may do so. What members of an organisation do through it binds the organisation.
• One person or company may not open several accounts to get around limits, bans or free grants.

The Services

Many of the Services are in early access. Features, limits and prices may change, and there is no uptime commitment or support response time unless we agree one in writing. We may set and change limits on use, such as resources, request rates and network traffic, and block kinds of traffic to protect the Services and others. If we discontinue a paid service for reasons other than your breach, we will give at least 30 days notice where we reasonably can and refund unused purchased credits.

Your content and what you run

• You keep all rights in the code, data and other content you put into the Services. You give us permission to host, store, copy, transmit and process it only as needed to run, secure and support the Services, and to comply with the law.
• You are responsible for everything that runs in or through the Services under your account: the code you run, the software you install, the connections your sandboxes make, the content they serve, and the credentials you store.
• Agent actions are your actions. Anything an AI agent does through your account, tokens or sandboxes counts as something you did, whether or not you instructed, reviewed or foresaw it, and whoever built the agent or its model. It is up to you to configure, limit and watch your agents.
• You confirm you have the rights and lawful basis to put your content into the Services, including any personal data in it.
• Do not use the Services for data under special regulation, such as health records under HIPAA or payment card data under PCI DSS, or in systems whose failure could cause death, injury or serious damage, unless we have agreed to it in writing.

Acceptable use

You may not use the Services, or let anyone or any agent use them, to:

• break the law, or store, run or share content that is illegal, including child sexual abuse material;
• distribute malware, or run phishing, fraud, scams or spam;
• scan, probe, attack or overload any system or network without permission from its owner, including denial of service attacks;
• mine cryptocurrency on hosted Services;
• infringe intellectual property or privacy rights, or collect data from other services in breach of the law or their terms;
• attack, test or try to escape the isolation of our infrastructure, unless we have agreed to security research in writing;
• get around limits, quotas, payment, suspensions or bans.

Content and abuse

SuperHQ provides general purpose software and computing infrastructure. We do not choose or control what you or your agents run, store or send, we have no duty to monitor it, and we are not its publisher. If we review or act on content or activity, we do so voluntarily and in good faith. Report abuse, including copyright complaints, tosupport@superhq.ai. We may preserve content and disclose information to authorities when the law requires it or to protect people from harm.

Paid services

• Payments are processed by Dodo Payments as merchant of record. Dodo is the seller of record, handles payment details, taxes and invoices, and its buyer terms apply to the purchase. Prices are shown before you pay.
• Subscriptions renew until cancelled. Cancelling stops the next renewal; access continues to the end of the period already paid for, and the rest of that period is not refunded.
• Prepaid credits pay for metered usage at the published rates. Purchased credits do not expire while the account that holds them is open. When the balance reaches zero, the paid service stops running new work; stored data keeps costing credits, and if the balance stays below zero for 30 days, that data is deleted.
• Refunds are given for billing errors and duplicate charges, for a credit purchase none of which has been used if you ask within 7 days, when we discontinue a paid service, and wherever the law requires. Otherwise payments and unused credits are not refunded, including when an account is closed for breaking these terms.
• Tell us within 60 days if you think a charge or usage record is wrong. If you dispute a payment with your bank without contacting us first, we may suspend the account while the dispute is open.
• We give at least 30 days notice before raising a price you pay.

Suspension and termination

You may stop using the Services and close your account at any time. We may suspend or limit the Services, stop or remove sandboxes, block traffic, or close accounts, without notice where needed, if we reasonably believe these terms were broken, the use puts people, the Services or others at risk, the account is fraudulent or linked to one we closed, or the law requires it. We may delete unlawful or dangerous content at once. Otherwise we may end an account on 30 days notice.

Your data and backups

Keep your own copies of anything you care about. Servers and disks fail, and work or data not saved elsewhere can be lost, including snapshots. We are not liable for that loss. After an account is closed we do not have to keep or return its content.

Open source software and models

Our software is released under open source licenses, stated in each repository, and each model under the license on its model card. Those licenses govern how you may use, change and share the software and models, and nothing in these terms takes away a right they give you.

Names and content

The SuperHQ name and logo and the names and logos of our products are ours. Open source licenses cover code and models, not these marks: you may refer to our products by name, but not in a way that suggests we made or endorse something we did not. Site text and images are ours unless marked otherwise. If you send us feedback, we may use it freely.

Other services

The Services link to and connect with services we do not control, such as GitHub, Hugging Face and model providers you choose. Their own terms apply, and we are not responsible for them.

No warranty

The Services, our software and our models are provided as is and as available, without warranties of any kind, including fitness for a particular purpose, accuracy and non-infringement, to the extent the law allows. Model output can be wrong; check it before you rely on it.

Limitation of liability

To the extent the law allows, SuperHQ is not liable for indirect, incidental, special or consequential damages, or for lost data, profits or business. Our total liability for all claims about the Services is limited to the greater of what you paid us in the 12 months before the claim and USD 100. Some places do not allow these limits, and there they apply only as far as the law permits.

Indemnity

You will defend SuperHQ against claims by others that arise from your content, what you or your agents do with the Services, or your breach of these terms, and cover the costs and damages that result.

Governing law

These terms are governed by the laws of India. Courts in Lucknow, Uttar Pradesh have exclusive jurisdiction, except where the law where you live gives you the right to bring a claim there.

Changes

We may update these terms and will change the date above when we do. For a material change we will tell account holders by email or in the product at least 30 days before it takes effect, unless the law requires it sooner. Using the Services after a change means you accept it.
